Lifeist begins CannMart restructuring after shareholders reject sale

Lifeist Wellness Inc. has commenced restructuring proceedings pursuant to the Bankruptcy and Insolvency Act for one of its wholly owned subsidiaries, CannMart Labs Inc. 

Lifeist announced its plans to divest and sell all of its shares of the CannMart Group in February to a BC company affiliated with Tierra Corp for $5 million. However, that proposed sale was rejected by Lifeists shareholders in a meeting in March, with the Board of Directors promising to explore every alternative avenue to adapt and restructure the CannMart Group.

In a press release on April 3, Lifeist emphasizes that the newly-announced restructuring does not impact CannMart Inc., the company’s flagship subsidiary and a leading distributor of licensed and in-house branded adult-use cannabis and cannabis-derived products in Canada.

The move will help Lifeist to better “streamline” their operation.

“Following a thorough financial and strategic review, we believe that it is in the best interest of shareholders for CannMart Labs alone to enter into restructuring proceedings in order to address its obligations and contributions to Lifeist’s balance sheet,” said Meni Morim, CEO of Lifeist.

Lifeists most recent quarterly report for the three and 12 months ended November 30, 2023 (Q4 2023) showed net revenue was $4.7 million in Q4 2023, a decline from $6.2 million in Q4 2022. The company attributes this to “continued supply chain challenges impacting CannMart’s cannabis revenue in Q4 2023, as compared to Q4 2022.”

Lifreist reported a net loss for the year ended November 30, 2023, of $14.1 million, including nearly $6 million in excise and a $15.4 million loss in the same period in 2022.

As of November 30, 2023, Lifeist had a deficit of $206,192,203 (2022-$192,066,533) and a working capital deficit of $290,870 (2022-$7,937,326 surplus).

Part 3: COVID-19

This series covers how a freefall of public trust in the face of spin and censorship has led to the rise of new and independent media. It investigates how Russiagate (part 1), the 2020 presidential election (part 2), and COVID (part 3) specifically have eroded trust in legacy media and then analyzes the growth of other sources.

During a major crisis, the mainstream media has a duty to ask hard questions and scrutinize official claims and thus fulfill its responsibility to provide objective, accurate, and reliable reporting. During the COVID pandemic, however, legacy media became the mouthpiece of officialdom whose ever-changing and backpedaling claims were unquestionably parroted by their media assets. As a result, the public’s trust dropped, according to Gallup, who noted in October 2022 that “this is the first time that the percentage of Americans with no trust at all in the media is higher than the percentage with a great deal or a fair amount combined.”

As fears and hysteria over COVID grew and grew, the public looked increasingly to the media for information and assurances regarding the safety and effectiveness of the experimental mRNA vaccines that were rushed to market during Operation Warp Speed. In response, legacy media dutifully echoed the assurances from the authorities that the vaccines are “safe and effective.” However, these claims were ultimately proven false.

Honest Media has worked to hold mainstream media accountable for their remarkably biased reporting during COVID, including outlets such as the Associated Press and Mother Jones, both of whom have never corrected major errors in reporting dealing with the pandemic. To date, neither organization has made any corrections to their clearly flawed reporting.

The mainstream media narrative collapses on the fronts of both vaccine safety and efficacy. The historical record now shows that the COVID vaccines neither prevent infection, per a Cleveland Clinics study, nor transmission, as Tablet Magazine reported. Even the CDC finally admits that these vaccines do not stop transmission.

Vaccine injuries like bell’s palsy, anaphylaxis, pericarditis, myocarditis, Guillain-Barre syndrome, cancer, and even sudden death are regularly reported anecdotally on local media and are frequently shared on X (formerly Twitter). Data analysis and scientific studies support the anecdotal evidence, including this systematic meta-review of original studies

Edward Dowd, a former Blackrock analyst, discovered a 40% spike in what the life insurance industry calls “excess deaths” for 2021 coinciding with the initial COVID-19 vaccine roll-out. He documented this data in his book, “Cause Unknown: The Epidemic of Sudden Deaths in 2021 and 2022” and discussed it on The Highwire with Del Bigtree.

A recent Science Magazine study of a cohort of 99 million vaccinated people “confirmed pre-established safety signals for myocarditis, pericarditis, Guillain-Barré syndrome, and cerebral venous sinus thrombosis.” In other words, the narrative of a safe vaccine, like the narrative of the Biden laptop being Russian disinformation, or lockdowns being good for society, simply doesn’t hold up.

Some of the concerns raised over the vaccines and censorship were recently taken up during an unprecedented Capitol Hill roundtable that was hosted by Senator Ron Johnson. Dr. Anthony Fauci himself recently revealed during Congressional testimony that the recommendation for social distancing was not at all science-based, as reported by the New York Post.

And perhaps most alarming, a recent study examining so-called ‘excess deaths’ released in January 2024 estimates the mRNA vaccine has killed 17 million people worldwide. Why does the mainstream media refuse to even engage with these questions?

Meanwhile, a slew of studies and a veritable tsunami of counter-narrative reporting from primarily independent media has opened up gaping holes in what is quite obviously a dying official narrative.

Despite this reality, Honest Media has yet to find any significant reckoning or review by the legacy media of the now-known facts, not to mention the complete evisceration of legacy media’s endlessly repeated COVID vaccine mantras. In fact, the ‘first draft’ of history is so unclear and full of holes, editors of Scientific American have called for a reckoning themselves, in the form of a COVID “truth and reconciliation commission” in a February 2022 opinion piece.

In addition, the (now retired) head of the National Institutes of Health (NIH) during the COVID crisis, Francis Collins, has reluctantly admitted that the COVID vaccine could cause side effects like myocarditis which “could in fact be significant.”

Rather than correct the record, or review such alarming findings, the mainstream press continues to invest their resources in deriding vaccine critics and promoting vaccine boosters, all the while ignoring the scale of vaccine injuries across the globe.

It’s therefore no wonder that trust in the establishment is crumbling and the corporate media is collapsing. In January 2021, Reuters reported on the 2021 Edelman Trust Barometer global survey, which found that:

57% of people believe government leaders, business chiefs and journalists are spreading falsehoods or exaggerations. Trust in governments, business chiefs and media is crumbling amid a perceived mis-handling by leaders of the coronavirus pandemic and a widespread feeling among ordinary citizens that they are being misled.

Trust in ‘traditional media’ is at a near record low, according to Gallup (Post-Russiagate 2016 was the nadir). As Kaitlyn Seiter of University of Arkansas noted “trust in the news media is lower with COVID-19 coverage compared to general news coverage, with many participants believing news sources exclude COVID-19 facts.”

Might censorship be contributing to the perceived paucity of COVID-19 facts in legacy media coverage? If so, distrust could grow further should the collusion of the state and corporate media in censorship get a greenlight from the Supreme Court.

On March 18, in Murthy v. Missouri, the U.S. government went before the Supreme Court arguing that the First Amendment should not apply when it comes to questions of science. If decided in favor of the defendants within the Federal government, the lawsuit would effectively give the go-ahead to the growing censorship network. Understanding How It Happens

What is the shape of this censorship network? One of the earliest alarms over censorship was raised by Tablet magazine in September 2022 in a piece entitled “The U.S. Government’s Vast New Privatized Censorship Regime.” Tablet’s map of the new censorship regime has since been further documented in extensive reporting by Matt Taibbi, Michael Shellenberger, and others in the Twitter Files and CTIL Files reports, where the journalists and even U.S. Representatives increasingly refer to this network/regime as the Censorship Industrial Complex (CIC).

A recent report by the Congressional Select Subcommittee on Weaponization of Government has revealed that a non-profit called Meeden, funded by a $5.7 million grant from the National Science Foundation, has identified “mistrust” as “misinformation” in the push to use AI to censor Americans. This finding suggests that any American or independent media outlet that expresses this “mistrust” could become a target for a new AI model of “scan and ban” censorship.

As revealed in CTIL reporting, legacy media revealed its own mistrust of the very people it is meant to serve by having colluded with the government during COVID, whether coerced or not. These two braided institutions that represent immense corporate and state power are increasingly seeking to control and limit the parameters of the debate around the issues at the heart of these events, to make sure the truth about Russiagate, the 2020 election and COVID is suppressed or muddled.

Instead of earning trust and subscription revenue by serving and informing the people, social media behemoths like Facebook/YouTube (Meta) and Twitter (now X) echo legacy media behemoths by engaging in their own censorship, propaganda, polarization, or canceling dissent. Their fear of the will of people drives the entirety of this censorship operation, a situation that Robert F. Kennedy Jr. addresses directly on the presidential campaign trail by quoting President John F. Kennedy who said:

We are not afraid to entrust the American people with unpleasant facts, foreign ideas, alien philosophies, and competitive values. For a nation that is afraid to let its people judge the truth and falsehood in an open market is a nation that is afraid of its people.

The “open market” to which Kennedy referred has since collapsed into a corrupt merger of state, corporate media and NGOs that violates the First Amendment. This dynamic, in turn, has contributed to increasing distrust of legacy media by the public that seems to keep growing as the media refines techniques for spreading this propaganda while much of the public keeps sensing the spin and lies.

A broad spectrum of small, independent news outlets, podcasters, social media influencers and citizen journalists on a variety of platforms are filling this void. Here perhaps we can discern a positive unintended consequence of the collapse of legacy media.

A recent bill in California that was originally intended to amend the state’s current rules protecting workers from discrimination based on their use of legal cannabis has undergone substantial changes to rescind the protections for several workers, including those in animal control, law enforcement and coroners’ offices.

The initial measures passed in 2022 and 2023 limited the use of punitive measures against workers for marijuana use while they were off duty and prohibited companies from asking applicants about their prior cannabis usage. However, SB 1264, under Senator Shannon Grove’s sponsorship, seeks to carve out exceptions for certain job roles. These exceptions primarily impact positions involved in law enforcement, civil enforcement, public safety communications, evidence management, animal control, community services and coroner functions.

These changes come shortly after the Peace Officer Standards and Training Commission eliminated questions about cannabis from police recruitment applications.

Grove’s proposed changes were approved recently, and the bill awaits further review by the state’s Senate Rules Committee.

The existing employment protection laws, effective at the start of this year, prohibit employers from soliciting information regarding an applicant’s past marijuana use, barring specific exceptions. Similarly, employers are prohibited from discriminating against employees based on lawful off-duty cannabis consumption or positive drug tests for cannabinoid metabolites.

While these laws already feature exceptions for certain occupations, such as those in construction trades and positions requiring federal background checks, the recent amendment seeks to extend these exceptions to encompass a range of law-enforcement roles.

The discourse surrounding marijuana-related employment regulations has gained momentum nationwide alongside the legalization movement. In Ohio, for instance, Cleveland mayor Justin M. Bibb announced updates to the city’s drug-testing guidelines for job applicants, eliminating outdated language regarding pre-employment cannabis testing.

Similarly, Washington, D.C., implemented a law in July preventing private workplaces from penalizing employees for off-duty cannabis use. Michigan officials also recently revised the state’s employment regulations to exempt most government job applicants from pre-employment cannabis testing.

Meanwhile, California Governor Gavin Newsom has promised to keep advancing efforts to stabilize the cannabis industry in the state. He proposed in January that the government borrow $100 million from a marijuana tax fund intended for public safety and law enforcement to help cover a fiscal shortfall overall. The state’s legislature is reviewing various drug policy amendments that address issues like psychedelics as well as possibilities to expand the state’s marijuana market.

California has been a trendsetter on many matters, such as cannabis legalization. Established marijuana entities such as Trulieve Cannabis Corp. A few years ago, my local garden center started selling bare-root plants. The assortment went above and beyond the typical dahlia tuber or lily bulb and included shrubs, trees, and a variety of perennials. What was this madness? I did a little digging and learned that bare root planting is easy and is becoming increasingly popular among anyone with an itch to garden on a budget.

What Are They?

Bare root plants are dormant perennials, shrubs, or trees grown in nurseries, dug up during their dormant period, and roots washed of soil.

They are packaged and kept dormant in cool warehouses until they are ready to be shipped to the customer via mail order or to the garden center, where they are sold directly.

They are often deciduous plants with stalks trimmed just above the root line. Berry bushes, fruit trees, and a wide range of perennials, including lilacs, camellia bushes, clematis, and, of course, roses of all varieties, from floribunda to climbing, can all be planted from bare roots. It’s a super affordable way to start a permaculture-style mini-food forest on the cheap!

Because bare root plants are not packed in soil hyper-stimulated with fertilizer to enhance growth, their carbon footprint is less than regularly purchased container plants.

Each root can be packed tightly with others, reducing the area and cost needed to ship; transporting one box of roots takes less energy than ten containers of fully-grown plants.

As a bonus, bare root plants are often 30-50% less expensive than others in pots because those additional shipping and material costs aren’t passed on to the consumer.

Once you get your bare root plant – the next step is to wake it up from its dormant state.

The roots are bound together and encased in sawdust, peat, or coir to prevent moisture accumulation. The first step is to untie the roots, shake off the packaging, and soak them in cool water for a few hours.

This process re-initializes the stagnant sugars in the root and starts the growth cycle. If it is impossible to plant immediately, keep the plant cool but not frozen so dormancy is maintained.

Planting

Planting can happen year-round, but the optimal time is fall or spring to allow for the re-establishment of the natural growth cycle alongside other plants in the garden.

Sprinkling mycorrhizal fungi around the root at the time of planting will help increase nutrient and water uptake from the soil.

Once planted, feeder roots will start to spread. It may take a few weeks to see any signs of life, so don’t panic! Be sure to keep the soil watered if it feels dry. Eventually, new shoots will appear, indicating that the root has broken dormancy and is growing.

Congressional Lawmakers Urge AG to End Current Legal Limbo, Issue ‘Overdue’ Cannabis Guidance

Congressional legislators recently forwarded a letter to the attorney general (AG), urging him to issue guidance on federal cannabis enforcement in an effort to stave off interference in state marijuana programs. The letter, penned by Congressional Cannabis Caucus cochairs Representatives Barbara Lee and Earl Blumenauer, stated that the department of justice needed to correct this oversight and issue a memo clarifying that its resources wouldn’t be used to prosecute parties acting in accordance with tribal or state law.

It has been more than five years since former AG Jeff Sessions revoked the previous memos that directed prosecutors to not interfere with tribal and state cannabis laws. The legislators explained that while they appreciated the historic steps the current administration had taken to commence the formal review of the drug’s classification under the Controlled Substances Act and pardon simple possession offenses at the federal level, it was unacceptable that more than one-half of Americans living in states where the drug was legal were left in limbo without guidance to avert unjust prosecution of individuals who complied with their tribe’s or state’s regulations.

The letter also highlighted that state regulators, law enforcement, patients and small businesses as well as the everyday person were caught in the crossfires, which was worsened by the delay in issuing the protections. Lee and Blumenauer asked the justice department what steps it was taking to ensure tribe-or-state legal actions weren’t prosecuted, especially given President Joseph Biden’s public position on no one being imprisoned for cannabis possession.

In conclusion, the letter underscored the need for public guidance on federal prosecutions as Congress worked to address the effects of the gap on marijuana policy.

When AG Garland was asked about this during a committee hearing last year, he stated that it was fair to expect that the updated cannabis policy would be similar to the Cole memorandum. The AG then revealed that the department of justice was assessing different issues related to cannabis and its production, use and sale.

In other news, the U.S. Drug Enforcement Administration (DEA) is focused on completing its review into marijuana scheduling, after the U.S. Department of Health and Human services recommended that the drug be moved to a lower schedule in the Controlled Substances Act.

Lee has personally opposed the idea of rescheduling, arguing that this could set the U.S. back another five decades on the path to marijuana’s federal legalization. Blumenauer seems to share the same opinion, noting that fully eliminating marijuana from the Controlled Substances Act was bolder rather than rescheduling the drug.

Marijuana companies such as Curaleaf Holdings Inc. (CSE: CURA) (OTCQX: CURLF) will be hoping that federal legal reforms get enacted sooner rather than later, so that the cannabis industry can fully blossom in the country.
